Article I – Name, Purpose
Section 1: The name of the organization shall be Moon Youth Wrestling
Section 2: The Moon Youth Wrestling Club has been organized for the purpose of developing wrestlers that are committed to and enjoy the sport of wrestling. The goal is achieved by promoting good sportsmanship; developing a sold work ethic; developing a positive attitude, improving physical fitness and developing fundamentally sound wrestling. The Moon Youth Wrestling Club will aid the program and the coaching staff through fundraising activities to provide the appropriate equipment, facilities, and to promote the wrestling program throughout the communities we serve.
Article II – Membership – Moon Youth Wrestling membership will consist of those who desire to be affiliated with the program. The Moon Youth Wrestling membership will be participating in fundraising activities and or instructional activities and members are entitled to the following:
1- Attendance is open sessions of business meetings
2- Seeking appointments to the Moon Youth Wrestling Club
3- Responsible to the Policies and Procedures of the organization
Article III – MEETINGS
Section 1: Monthly Meetings. The date and location of the regular monthly meetings are set by the Board of Directors. However, they are normally conducted the second Wednesday of the month at 6pm. Meetings can take place in person or virtual. The Moon Youth Wrestling Board holds the right to change, alter, or cancel future meetings.
Section 2: Special Meetings. Special meetings may be called at any time by request of any board member with the backing of at least a second board member. Reasonable time shall be allowed before the special meeting date. Notice of each meeting should be given to each Board of Director member, by e-mail, not less than 5 days before the meeting.
ARTICLE IV – BOARD OF DIRECTORS
Section 1: The Moon Youth Wrestling Board shall consist of four (4) officers and five (5) members at large in good standing. (The office of secretary and treasurer can be combined if needed).
Section 2: The officers of the Moon Youth Wrestling Club shall consist of:
(1) President
(2) Vice-president
(3) Treasurer
(4) Secretary
(5) At Large
Section 3: Board Elections. The Officers and Members at Large shall be nominated by members of the Moon Youth Wrestling Club and elected/voted in by the current Board of Directors.
Section 4: Terms. All Board members shall serve 3 year terms, but are eligible for re-election. There are no term limit restrictions.
Section 5: Quorum. A quorum must be attended by one more than 50 percent of the Board members before business can be transacted or motions made or passed.
Section 6. Officers and Duties. There shall be four officers of the Board consisting of a President, Vice President, Secretary and Treasurer. Their duties are as follows:
The President shall convene regularly scheduled Board meetings, shall preside or arrange for other members of the executive committee to preside at each meeting in the following order: Vice President, Secretary and Treasurer.
The Vice President will chair committees on special subjects as designated by the Board.
The Secretary shall be responsible for keeping records of Board actions, including overseeing the taking of minutes at all board meetings, sending out meeting announcements, distributing copies of minutes and the agenda to each Board members, and assuring that corporate records are maintained.
The Treasurer shall make a report at each Board meeting. Treasurer shall chair the finance committee, assist in the preparation of the budget, help develop fundraising plans, and make financial information available to Board members and the public.
The At Large position will be a voting member with various assigned duties to be decided and determined
Section 8: Vacancies. When a vacancy on the Board exists, nominations for new members may be received from present Moon Youth Wrestling Club members. Nominations will be collected by the Secretary prior to a Board meeting. These nominations shall be sent out to Board members with the regular Board meeting announcement, to be voted upon at the next Board meeting. These vacancies will be filled only to the end of the particular Board member’s term.
Section 9: Resignation, Termination and Absences. Resignation from the Board must be in writing. A Board member may be removed for other reasons by a three-fourths vote of the remaining directors.
ARTICLE V – SPONSORSHIPS/CONTRIBUTIONS
Section 1: The Moon Youth Wrestling Club will solicit sponsorships and contributions as needed. Sponsorship funds are used to support the Moon Youth Wrestling Club. Funds help pay for tournament costs, equipment, supplies, and coaching.
ARTICLE VI – COMMITTEES
Section 1: The Board may create committees as needed, such as fundraising, tournament, etc. The Board President appoints all committee chairs.
Section 2: Executive Committee. The four officers serve as the members of the Executive Committee. Except for the power to amend the Bylaws, the Executive Committee shall have all of the powers and authority of the Board of Directors in the intervals between meetings of the Board of Directors, subject to the direction and control of the Board of Directors.
Section 3: Finance Committee. The Treasurer is chair of the Finance Committee, which includes three other Board members. The Finance Committee is responsible for developing and reviewing fiscal procedures, a fundraising plan, and annual budget with staff and other Board members. The Finance Committee will ensure that all necessary forms are filed with federal and state agencies annually (990N, etc.). The financial records of the organization are public information and shall be made available to the membership, Board members and the public as required or requested.
ARTICLE VI – RULES AND AMENDMENTS
Section 1: Parliamentary procedures will be followed at all Moon Youth Wrestling Club meetings and the Board of directors shall act in accordance with Robert’s Rules of Order.
Section 2: These Bylaws may be amended when necessary by a two-thirds majority of the Board of Directors. Proposed amendments must be submitted to the Secretary to be sent out with regular Board announcements.
